Creating New Businesses
Attorney Nilson assists clients who are in the beginning stages of a new business by providing personal consultations about the various forms of Pennsylvania business entities and relationships that are available, such as Pennsylvania limited liability companies, corporations, and partnerships. Decisions about the appropriate form of entity a new business will assume are generally based upon the intended services or industry, but must also involve consideration of the relationship between the owners, the potential forms of liability, and the potential for adding additional owners or making a sale of all or some portion of the business in the future.
In addition to completing and filing the documents required by the Pennsylvania Department of State, such as the Docketing Statement, Certificate of Organization, or Articles of Incorporation, Attorney Nilson will also prepare the Operating Agreement or By-Laws and the minutes for all of the initial organizational meetings.
Mr. Nilson also assists with the proper completion and submission of all documents necessary to obtain the Federal EIN and the Pennsylvania Sales Tax License, including the PA-100, as necessary, as well as any business privilege licensing that may be required by local municipalities.
Maintaining an Existing Business
Kurt Nilson assists clients who have had the necessary Pennsylvania Department of State documents filed for them, but are left without the documents needed to maintain, control, and govern the new business.
These are clients that find themselves without the documents that set forth the rules for the operation and ownership of the business, sometimes after months or years and often a crucial point relating to a sale of the business or when trying to obtain a commercial loan. Mr. Nilson also assists with other circumstances relating to owner disputes or illnesses through the use of Buy-Sell Agreements and Insurance Agreements.
Attorney Nilson also works with clients who have all of the necessary documents, but who have not conducted business according to their own rules or who simply aren't sure about how those rules should be applied.
Business Sales and Purchases
Mr. Nilson assists clients who buying and selling all ownership of an existing business and also those who are experiencing a change in ownership by the addition or removal of only some owners.
